DineTrade is a brand of LounjApp Ltd (company no. 17252799), registered office 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ (“DineTrade”, “we”, “us”).
This agreement applies between DineTrade and the restaurant (“you”, “the Restaurant”) that registers to publish offers on the DineTrade platform.
By creating a restaurant account and publishing an offer, you agree to these terms.
1. What DineTrade does
1.1 DineTrade operates a live marketplace where restaurants publish real-time food discounts and perks to fill quiet tables. Diners browse the board, choose an offer, and secure it by paying a small booking fee to DineTrade.
1.2 DineTrade is a booking and discovery platform only. We connect diners with your restaurant. We do not prepare, serve, or take responsibility for the meal, the venue, or the dining experience — those remain entirely yours.
1.3 DineTrade is not your agent, partner, employer, or joint venturer. Nothing in this agreement creates any such relationship.
2. Your offers
2.1 You set your own offers — the food discount percentage, any perk, the eligible dates and times, and the number of covers available. You are responsible for the accuracy of everything you publish.
2.2 Discounts apply to food only unless you clearly state otherwise. Drinks are charged at full price.
2.3 You may change or withdraw an offer at any time before a diner books it. Once a diner has booked a slot, you must honour that booking on the terms shown at the time of booking.
2.4 You must have all necessary licences, registrations, food hygiene ratings, and insurance to operate your restaurant and serve the offers you publish. You are solely responsible for food safety, allergen information, and compliance with all laws applying to your business.
3. Honouring bookings
3.1 You agree to honour every confirmed booking and every published offer — the food discount and any perk — exactly as posted, for any diner who booked that slot.
3.2 If you cannot honour a booking (for example, an unexpected closure), you must contact the affected diner as soon as possible using the contact details provided with the booking, and notify DineTrade at restaurant@dinetrade.co.uk.
3.3 Repeated failures to honour offers, or repeated verified diner complaints, may result in suspension or removal from the platform at our discretion.
4. The booking fee
4.1 Diners pay DineTrade a booking fee of £2 per guest, capped at £5 per booking, to secure an offer. This fee is paid to DineTrade, is non-refundable, and is retained by DineTrade in full.
4.2 No part of the booking fee is payable to you, and you are not entitled to any share of it. The booking fee is not a deposit and is not held against the diner’s bill.
4.3 The diner pays for their food and drinks in full at your restaurant, with the published discount and any perk applied to their food bill. All such payment is a matter directly between you and the diner.
5. Cancellations
5.1 If a diner wishes to cancel or change a booking, they will contact you directly using the booking confirmation email. You are responsible for managing your own table availability and releasing cancelled slots.
5.2 DineTrade does not handle cancellations or changes on your behalf and does not act as an intermediary between you and the diner for cancellations.
6. Your data and the diner’s data
6.1 When a diner books, we share their booking details (such as name, party size, date, time, and the offer) with you so you can honour the table. You must use this data only to fulfil the booking and must comply with UK data protection law (UK GDPR and the Data Protection Act 2018) in handling it.
6.2 You must not use diner data for your own marketing or any other purpose without the diner’s separate consent, and must delete or stop using it when it is no longer needed for the booking.
6.3 Each party is an independent controller of the personal data it holds. You are responsible for your own ICO registration where the law requires it.
7. Your account
7.1 You must provide accurate information about your restaurant and keep your account secure. You are responsible for activity under your account.
7.2 You must not misuse the platform, publish misleading offers, or attempt to disrupt the service.
8. Liability
8.1 As between DineTrade and you, you are solely responsible for the meal, service, venue, food safety, allergens, and any claim by a diner arising from their visit to your restaurant. You agree to indemnify DineTrade against claims, losses, and costs arising from your offers, your service, or your breach of this agreement, to the extent permitted by law.
8.2 To the extent permitted by law, DineTrade is not liable to you for loss of profit, loss of business, or any indirect or consequential loss. Nothing in this agreement excludes liability that cannot be excluded by law.
8.3 DineTrade gives no guarantee as to the volume of bookings, diners, or revenue you will receive through the platform.
9. Term and termination
9.1 Either party may end this agreement at any time on written notice. We may suspend or remove your account immediately if you breach this agreement or bring the platform into disrepute.
9.2 Bookings already confirmed before termination must still be honoured.
10. General
10.1 We may update this agreement from time to time. The version that applies is the one in force when you publish an offer. Continued use of the platform after a change means you accept the updated terms.
10.2 This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
